FORESTLY — TERMS OF SERVICE
Effective date: Nov 3, 2026 (03/11/2026) Last updated: Nov 3, 2026 (03/11/2026)
These Terms of Service ("Terms") constitute an agreement between you and Forestly, operating as Forestly ("Forestly," "we," "us," or "our").
Please read these Terms before using our website, applications, or related services.
1. Acceptance of Terms
By creating an account, submitting a business listing, purchasing a service, or otherwise accepting these Terms through our designated registration or checkout process, you agree to be bound by them.
Access to publicly available information may be provided without registration. Such access remains subject to applicable use restrictions and laws.
If you use Forestly on behalf of a business or organization, you represent that you have authority to act on its behalf.
Our Privacy Policy separately explains our personal information practices. Agreement to these Terms does not replace any distinct consent legally required for optional personal information processing.
2. Description of Services
Forestly is a digital discovery and business-promotion platform.
Services may include:
- Local business discovery and information.
- Restaurants, retail, services, and entertainment listings.
- Maps, location searches, and links to directions.
- Promotional videos, photographs, and business descriptions.
- Community event and activity listings.
- Employment opportunities and external application links.
- Paid advertising and featured placements.
- Business subscriptions and promotional content services.
- Aggregated business performance reporting.
Features may vary by location, account type, and subscription.
Unless expressly stated otherwise, Forestly operates as an information and promotional intermediary, rather than the direct provider of the goods, employment, activities, or services advertised by third parties.
3. Eligibility and Accounts
You must be at least 13 years old to create a Forestly account during our initial launch.
You agree to provide accurate registration information and maintain the security of your credentials.
You are responsible for activity conducted using your account, except where responsibility legally rests with Forestly or another party.
You must promptly report suspected unauthorized access.
We may request reasonable verification of business ownership or account authorization.
4. Business Listings
Businesses may create or claim listings subject to Forestly's approval and verification procedures.
Businesses must:
- Provide accurate contact and location information.
- Maintain current operating hours and service descriptions.
- Use only content they are authorized to publish.
- Disclose important restrictions affecting advertised offers.
- Comply with applicable laws, permits, licences, and regulations.
- Correct outdated or misleading information promptly.
Forestly may edit formatting, request corrections, reject, remove, or restrict listings that violate these Terms or applicable laws.
A verification badge indicates that Forestly has performed its stated verification process. It is not a guarantee of product quality, financial standing, licensing, safety, or regulatory compliance.
5. Free and Paid Services
Forestly may provide free business profiles alongside optional paid promotional services.
Paid services may include sponsored placements, recurring subscriptions, advertising campaigns, video production, and business analytics.
The specific scope, price, billing frequency, applicable taxes, and any limitations will be displayed before purchase or agreed upon in a separate written order.
Purchasing promotional services does not guarantee increased revenue, customers, sales, hiring results, or a particular return on investment.
Any expressly purchased deliverables or guaranteed advertising quantities remain subject to the applicable order.
6. Subscriptions and Recurring Payments
Where a subscription automatically renews, Forestly will clearly disclose before purchase:
- The amount charged, applicable taxes, and currency.
- The billing interval.
- Whether renewal is automatic.
- When the next charge will occur.
- How the subscription may be cancelled.
- Any introductory pricing and subsequent rate.
Recurring charges will begin only after the required authorization has been obtained.
Subscribers may cancel future renewals through [Account Billing Page] or by contacting [billing@yourdomain.ca].
A cancellation will stop future renewal charges and ordinarily take effect at the end of the current paid billing period.
Fees already paid for a commenced billing period are ordinarily non-refundable except where required by law, expressly agreed otherwise, or justified by a failure to provide contracted services.
Forestly will provide at least 30 days' advance notice of increases to recurring subscription prices. Any increase will apply prospectively, subject to applicable law and required consent.
A subscriber may cancel before an increased price takes effect.
If a mandatory law gives a purchaser broader cancellation, refund, or renewal rights, those rights prevail.
7. Advertising and Sponsored Content
Businesses may purchase promotional visibility within Forestly.
Paid placements will be identified using appropriate labels such as "Sponsored," "Advertisement," or "Promoted."
Forestly will not represent paid advertising as independent editorial recommendations.
Businesses must ensure promotional statements are accurate, substantiated where required, and not misleading.
Payment does not entitle a business to fabricated reviews, guaranteed positive ratings, or misrepresentation of its popularity.
Forestly may refuse or remove advertising that violates applicable laws, policies, or public safety requirements.
8. Promotional Video and Content Production
Forestly may provide commercial filming, editing, acting, photography, and social media content services.
A separate written production agreement or statement of work will specify:
- Deliverables and video length.
- Filming dates and locations.
- Production fees and payment deadlines.
- Revisions and approval procedures.
- Delivery timelines.
- Rights to use music, trademarks, footage, and appearances.
- Copyright ownership and the licence granted to the customer.
- Permission to publish content on specified platforms.
- Cancellation, rescheduling, and refund arrangements.
Unless a separate agreement provides otherwise, no business may assume it owns all underlying copyrights or third-party rights merely because it paid for a promotional video.
Businesses must obtain legally required permissions from people or property owners appearing in their submitted materials.
Forestly must also obtain appropriate permissions for materials it independently produces.
9. Employment Listings and Employer Responsibilities
Forestly may display job opportunities supplied by employers.
Forestly is not the employer of users who apply for third-party positions and does not ordinarily make hiring decisions on behalf of businesses.
Employers must:
- Have authorization to advertise the position.
- Provide accurate job duties, employment conditions, and compensation information.
- Identify the real employer or properly authorized recruiting entity.
- Comply with employment standards, human rights, privacy, and recruitment laws.
- Not engage in fraudulent recruitment, prohibited discrimination, or identity theft.
- Not demand unlawful application or recruitment fees.
- Not request unnecessary sensitive identity or financial information.
- Remove or close filled and cancelled vacancies promptly.
- Respond to applicant communications where required by applicable law.
9.1 Genuine vacancies
Forestly's policy is to permit specific job advertisements only for genuine, authorized recruitment opportunities.
Speculative advertisements designed solely to collect résumés, mislead candidates, or create the impression that an unavailable position is actively hiring are prohibited.
Businesses must confirm the availability and status of advertised positions.
Forestly may require periodic reconfirmation, automatically expire listings, or remove postings with unreliable information.
9.2 Ontario posting requirements
Where applicable, Ontario employers must comply with statutory requirements concerning compensation disclosures, AI-assisted hiring disclosures, statements about existing vacancies, prohibited Canadian-experience requirements, and required applicant communications.
Forestly may impose additional listing standards even where an employer is legally exempt from a particular requirement.
9.3 Applications and privacy
When Forestly directs users to an external employer website or email address, the employer is responsible for receiving and processing the application.
Submitting an application does not guarantee an interview, response, offer, or employment.
Forestly may remove suspicious listings and restrict repeat offenders.
Users may report suspected fraudulent recruitment through the reporting mechanism displayed on Forestly job listings.
Our separate Fraudulent Job Posting Policy explains how these reports are addressed.
10. Events and Activities
Events displayed on Forestly may be organized and operated by independent third parties.
Unless expressly stated otherwise, Forestly does not control an event's:
- Safety procedures and supervision.
- Admissions, tickets, or cancellation policies.
- Accessibility arrangements.
- Staffing, capacity, or licensing.
- Equipment, insurance, or emergency procedures.
Organizers must provide accurate event information, comply with applicable laws, and maintain appropriate safety procedures.
Users should verify event details and assess relevant risks before participating.
Forestly does not guarantee that an event will occur as advertised or that third-party organizers will meet their obligations.
Nothing in these Terms excludes liability that Forestly cannot lawfully exclude.
11. Reviews, Photos, Videos, and User Content
Users and businesses may submit content where enabled by Forestly.
By submitting content, you confirm that you have the necessary rights, permissions, and authority to do so.
You retain ownership of content that you own.
You grant Forestly a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, format, and distribute submitted content as reasonably necessary to operate, secure, and promote the specific listing or platform feature for which it was submitted.
This licence does not by itself authorize Forestly to sell your original content to unrelated third parties or use your identifiable likeness in unrelated advertising without any additional permission required by law.
The licence terminates following removal of the content, subject to reasonable technical, legal, and previously authorized distribution limitations.
Users must not submit:
- Fake reviews or undisclosed paid endorsements.
- Content infringing intellectual property or privacy rights.
- Defamatory, harassing, threatening, or discriminatory material.
- Fraudulent or deliberately misleading information.
- Unauthorized recordings or personal information.
- Malware, spam, or unlawful advertisements.
We may moderate or remove prohibited material.
12. Prohibited Uses
You must not:
- Use Forestly for unlawful or fraudulent activities.
- Create deceptive businesses, reviews, or employment listings.
- Impersonate a person or organization.
- Harass or exploit other users.
- Scrape or bulk-harvest user information without authorization.
- Attempt to identify individuals from aggregated reports.
- Circumvent security, access controls, or payment requirements.
- Introduce malware or disrupt the platform.
- Sell, republish, or commercially exploit Forestly's proprietary platform data without permission.
- Use the platform to discriminate unlawfully in employment or service provision.
Forestly may investigate suspected violations and take proportionate action, including content removal, listing restrictions, account suspension, or referral to appropriate authorities.
13. Data and Business Analytics
Businesses may receive performance information concerning their own listings and may purchase aggregated market reports.
Businesses do not acquire ownership of Forestly's underlying platform data by purchasing an analytics subscription.
Reports are provided for authorized business analysis and may contain estimates, sampling limitations, or statistical uncertainty.
Purchasers must not:
- Attempt to re-identify individual Forestly users.
- Combine reports with other datasets to identify people.
- Use reports to target or discriminate against specific individuals.
- Redistribute restricted reports without permission.
- Represent estimated figures as independently verified facts.
Forestly may suspend access to analytics where misuse is suspected.
All personal information processing remains subject to the Privacy Policy and applicable law.
14. Third-Party Services and Transactions
Forestly may contain links to external businesses, employers, maps, ticket providers, and payment services.
Transactions conducted directly with third parties are generally governed by those parties' contractual terms.
Forestly is not responsible for independently supplied goods or services solely because they are listed on the platform.
However, this provision does not eliminate any responsibility Forestly has under applicable consumer protection, advertising, privacy, or other laws.
15. Intellectual Property
The Forestly name, branding, software, interface, original designs, and Forestly-owned content are protected by applicable intellectual property laws.
Subject to these Terms, users receive a limited, revocable, non-exclusive licence to access the platform for its intended purposes.
No rights in Forestly intellectual property are transferred except as expressly agreed in writing.
Third-party trademarks and business names remain the property of their respective owners.
16. Service Availability and Accuracy
We aim to maintain accurate listings and reliable service availability.
However, third-party information may change, and technical interruptions may occur.
Forestly does not guarantee uninterrupted access, that every listing is accurate, or that all advertised products and opportunities remain available.
We may modify, suspend, or discontinue features for legitimate operational, technical, legal, or security reasons.
Where changes materially affect prepaid services, we will provide appropriate notice, remedies, or refunds as required by law or applicable contractual commitments.
17. Suspension and Termination
Users may request account closure through [Account Deletion Page] or by contacting [forestly.org/support].
We may suspend or terminate accounts for serious or repeated violations, fraud, security concerns, unlawful activities, or other legitimate reasons.
Where practicable and appropriate, we may provide an opportunity to correct a violation or appeal a moderation decision.
Termination does not automatically extinguish outstanding lawful payment obligations or existing legal rights.
Personal information will be handled following termination in accordance with the Privacy Policy.
18. Disclaimers and Limitation of Liability
To the extent permitted by applicable law, Forestly provides its platform without guarantees of uninterrupted availability, specific business outcomes, employment results, or third-party performance.
Forestly is not automatically responsible for an independent business's conduct, an employer's hiring decision, or an organizer's event merely because that third party is listed on Forestly.
To the maximum extent legally permitted, Forestly's aggregate liability arising from the platform will be limited to the greater of CAD $100 or the amount you paid Forestly for the relevant service during the 12 months preceding the event giving rise to the claim.
This limitation does not apply where prohibited by law and does not exclude liabilities or remedies that cannot legally be excluded or limited, including applicable statutory rights.
The appropriate scope and enforceability of these limitations must be confirmed by legal counsel.
19. Business Customer Responsibility
Business customers represent that their listings, claims, materials, promotions, and activities comply with applicable laws and third-party rights.
To the extent permitted by law, a business customer agrees to indemnify Forestly for third-party claims arising directly from that business's unlawful content, infringement of intellectual property rights, fraudulent representations, or material breach of these Terms.
This provision does not require a business to indemnify Forestly for Forestly's own unlawful conduct, negligence, or other responsibility that cannot legally be transferred.
20. Governing Law and Disputes
These Terms are governed by the laws of Ontario and the applicable federal laws of Canada, except where mandatory laws of another jurisdiction apply.
Parties should first contact [legal/forestly.org] to seek an informal resolution.
Subject to applicable mandatory law and jurisdictional rules, disputes may be brought before courts of competent jurisdiction in Ontario.
Nothing in these Terms removes any non-waivable right to seek relief from a court, regulator, or consumer protection authority.
21. Modifications to These Terms
Forestly may revise these Terms for legitimate legal, operational, or commercial reasons.
We will post updated Terms with an effective date and provide appropriate advance notice of material changes.
Where new consent or agreement is required by applicable law, Forestly will obtain it.
Material amendments will not retroactively eliminate accrued rights or contractual remedies.
22. Severability
If any provision is found unenforceable, the remaining provisions will continue in effect to the extent legally permitted.
23. Entire Agreement
These Terms, together with applicable purchase orders, subscription terms, and separately incorporated policies, constitute the agreement governing the relevant Forestly services.
Where an individually signed business agreement expressly conflicts with these general Terms, the applicable signed agreement will prevail for that transaction, except where prohibited by law.
